IC-VMSI™ Institutional Ticker Ratings

Periodic Candidate Review
VICA Research periodically applies IC-VMSI™ to companies exhibiting unusually strong preliminary evidence of institutional capital force.
Candidates are identified through observable evidence including institutional ownership and allocation, strategic capital, benchmark-linked exposure, portfolio positioning and other measurable capital structures.
Selection for review is not an endorsement and does not predetermine the final score. Each candidate is subjected to a deeper institutional-capital examination designed to confirm or reject the preliminary signal, identify contradictory evidence, distinguish measured evidence from inference and establish the conditions under which the assessment would have to change.
A candidate may strengthen under examination, weaken materially or fail the test entirely.
The objective is not to find companies with compelling narratives. It is to identify where institutional capital has become measurably embedded—and test whether that structure is real.
Capital Is Embedded. Equity Supply Remains the Constraint.

Abstract
Western Digital entered the IC-VMSI™ Candidate Review with unusually deep institutional ownership, positive manager breadth and substantial benchmark-linked capital.
The deeper review confirms a strong institutional structure but reveals an important distinction beneath headline ownership and repurchase data. Western Digital has aggressively retired shares while simultaneously issuing material equity through preferred and convertible-security settlements. Short positioning remains meaningful, but its directional content is difficult to classify because the convertible structure can support non-directional hedge activity.
IC-VMSI™ scores WDC at 82.1/100. Institutional capital is deeply embedded; the next test is whether institutional demand persists as conversion-driven equity supply normalizes.
Institutional Assessment
Western Digital exhibits deep institutional ownership supported by broad—but not uniform—institutional participation.
Independent ownership aggregators place institutional ownership in approximately the low-90% range. Because provider methodologies and consolidation rules differ, IC-VMSI™ does not treat a single aggregate percentage as exact.
The higher-information observation is that institutional ownership depth is independently confirmed across multiple datasets.
One Q2 2026 Form 13F aggregation tracks approximately 1,244 managers adding exposure versus 641 reducing it. Capital World Investors increased its WDC position by approximately 4.72 million shares, while Invesco added approximately 8.90 million. FMR, by contrast, reduced its position by approximately 5.64 million shares.
That dispersion matters.
IC-VMSI™ does not require every institution to move in the same direction.
It requires evidence that the aggregate capital structure demonstrates measurable institutional force while contradictory behavior remains visible.
WDC meets that standard.
Structural Conclusion: Institutional capital is deeply embedded, with positive participation breadth despite meaningful dispersion among individual active managers.
Benchmark-Linked Capital
Western Digital entered the Nasdaq-100 effective December 22, 2025.
At the time of the reconstitution, Nasdaq reported that the index supported more than 200 tracking products with over $600 billion in assets under management globally.
That connects WDC to a large rules-based allocation and implementation network.
IC-VMSI™ does not classify benchmark-linked ownership as discretionary investment conviction.
It classifies it as capital infrastructure.
Major index vehicles also hold multi-million-share WDC positions, confirming that benchmark-linked ownership operates through multiple institutional transmission channels. Pasted text
Structural Conclusion: WDC combines discretionary institutional ownership with a substantial rules-based capital channel.
Market Absorption and Equity Supply
Western Digital has undertaken unusually large capital-allocation actions.
During fiscal 2026, the company repurchased approximately 14.7 million shares for $2.59 billion.
It separately used its remaining Sandisk ownership in equity-for-equity transactions to acquire another approximately 4.8 million WDC shares, producing substantial gross share absorption.
Viewed in isolation, that could appear to establish a powerful contracting-equity mechanism.
It does not.
During the same fiscal year, Western Digital converted its remaining preferred securities into approximately 7 million common shares and used approximately 21.3 million common shares in June to settle the conversion premium associated with $858 million of 2028 convertible notes.
The result is observable in the share count.
Common shares outstanding increased from approximately 347 million at June 27, 2025 to 361 million at July 3, 2026, despite the repurchase and Sandisk-exchange activity.
The process continued after fiscal year-end.
In August, Western Digital agreed to exchange another approximately $191 million principal amount of 2028 convertible notes and subsequently disclosed issuance of approximately 4.65 million additional common shares in that transaction. Pasted text
The distinction is therefore critical:
Gross share absorption was substantial.
Net equity-supply contraction was not established.
Structural Conclusion: WDC is simultaneously retiring shares and creating shares through capital-structure conversion, making net absorption materially less powerful than headline repurchase activity suggests.
Principal Contradiction
The principal contradiction is the relationship between issuer-driven share absorption and conversion-driven equity issuance.
Western Digital has deployed billions of dollars toward repurchases and executed additional transactions that retired common shares.
Yet the outstanding common share base expanded over the fiscal year, while additional convertible-note settlements continued after year-end.
That prevents IC-VMSI™ from treating the repurchase program as a simple shrinking-float mechanism.
The relevant measure is not gross repurchases.
It is net equity supply after issuance and retirement channels are combined.
At the October 8 measurement cutoff, that mechanism remains conflicted.
Arbitrage Decomposition Factor™ — ADF™
CONFLICTED / ARBITRAGE-SENSITIVE
Western Digital’s 2028 convertible-note structure materially changes the information content of headline short interest.
At July 3, approximately $710 million principal amount of 2028 convertible notes remained outstanding. The company disclosed that approximately $343 million had already been tendered for conversion, with substantially all conversion value above principal expected to be settled in common shares for those notes.
Western Digital also maintained related capped-call transactions intended to offset some potential dilution.
Subsequent August transactions exchanged another approximately $191 million principal amount of the notes for cash and common equity.
Reported short interest stood at approximately 17.28 million shares on September 15, or roughly 5.0% of float, down approximately 13.1% from the preceding report. Pasted text
Those observations establish two facts.
Meaningful gross short positioning exists.
A capital structure capable of producing non-directional hedging also exists.
They do not establish how much of the short position is directional.
IC-VMSI™ therefore neither treats the entire short position as institutional distribution nor explains it away as convertible arbitrage.
Gross positioning is observable. Capital intent requires decomposition.
Why the Score Is 82.1
The 82.1 score reflects the convergence of four independently observable capital forces:
Deep institutional ownership.
Positive institutional participation breadth.
Substantial benchmark-linked capital.
Material issuer-driven gross share absorption.
The score is constrained by equally measurable contradictions.
Active-manager behavior is not uniform.
Gross repurchases have not translated into demonstrated net share contraction.
Convertible settlements have created substantial new equity supply.
Short positioning remains meaningful, while its directional content cannot be decomposed precisely.
Complete September-quarter institutional reporting is not yet available.
The result is therefore strong—but structurally less clean than the headline ownership and repurchase statistics initially imply.

What Price Alone Did Not Reveal
WDC’s price performance is not the basis of the 82.1 IC-VMSI™ score.
The higher-information structure sits beneath price.
Institutional ownership is exceptionally deep.
Institutional participation breadth is positive.
Benchmark-linked capital is structurally embedded.
The issuer is aggressively purchasing its own equity.
But another force operates simultaneously:
conversion-driven share issuance is replenishing equity supply.
That relationship changes the interpretation of the capital structure.
A conventional screen might observe high institutional ownership, large repurchases and declining short interest and conclude that institutional demand is encountering a rapidly shrinking equity base.
The evidence does not support that conclusion yet.
The more precise structure is:
**Deep institutional capital
- Benchmark-linked demand
- Gross issuer absorption
− Conversion-driven equity creation
± Arbitrage-sensitive positioning**
Price can reflect that structure.
Price cannot establish it.
Price measures movement. IC-VMSI™ measures capital force.
The Unresolved Test
The unresolved question is no longer whether institutional capital is embedded in Western Digital.
It is.
The first test is whether active institutional sponsorship persisted through the September quarter.
IC-VMSI™ will not infer that persistence from WDC’s price appreciation, subsequent drawdown, momentum, volume or technical condition.
If multiple independent active managers maintain or increase exposure through Q3 while benchmark-linked ownership remains intact, evidence of capital persistence strengthens.
The second test is structural.
Western Digital’s conversion activity must mature sufficiently to determine whether its repurchase program ultimately produces net equity contraction, rather than primarily offsetting conversion-related issuance.
Those are separate tests.
Both matter.
Falsification Condition
The Strong Positive Capital Force state requires reassessment if future evidence establishes convergence across:
negative institutional breadth
+ material distribution across multiple major active holders
+ deterioration in institutional ownership depth
+ continued equity issuance sufficient to neutralize issuer absorption
One institution reducing exposure is insufficient.
One convertible transaction is insufficient.
One price decline is irrelevant by itself.
The state changes only if the capital evidence converges against the current interpretation.
Final Institutional Assessment
IC-VMSI™ — WDC
82.1 / 100
Institutional State: Strong Positive Capital Force
Western Digital’s institutional structure is defined by a powerful convergence:
Deep institutional ownership
+ Positive participation breadth
+ Benchmark-linked capital
+ Material gross issuer absorption
But the principal contradiction is unusually important.
Western Digital is retiring equity while its convertible capital structure simultaneously creates new shares.
That means gross repurchases overstate the degree of actual equity scarcity.
Short positioning adds another layer of uncertainty because the company’s convertible structure provides a plausible mechanism for non-directional hedge exposure, but the available evidence cannot measure the decomposition.
IC-VMSI™ therefore preserves both observations rather than forcing either into a directional narrative.
Institutional capital is deeply embedded in Western Digital. The unresolved test is whether active sponsorship persists as conversion-driven equity supply normalizes.
About IC-VMSI™
IC-VMSI™ is VICA Research’s institutional capital-force framework.
It measures observable institutional deployment through ownership, allocation, portfolio positioning and benchmark-linked investment behavior.
Price appreciation, momentum, trading volume and price-driven changes in assets under management do not independently establish institutional capital deployment.
The Arbitrage Decomposition Factor™ (ADF™) evaluates whether observable positioning may contain non-directional components associated with convertible arbitrage, derivatives hedging, market making, benchmark implementation or other structural mechanisms.
Underlying model construction and weighting remain proprietary to VICA Research.
